Information on attendance and proxy voting

The Annual General Meeting of GfK will take place on May 20 in the Stadthalle Fuerth, Germany. If you are unable to attend, you have various options for representing your shares. If you would like to use one of these services, you will need an attendance card.

Attendance Card

An attendance card will be issued once you have applied correctly and in good time.
Please ask your bank to obtain an attendance card from:

c/o Deutsche Bank AG
Securities Production
- General Meetings -
PO Box 20 01 07
60605 Frankfurt am Main, Germany
or by fax: +49 (0)69/12012-86045
or by e-mail: WP.HV@db-is.com

Your options for proxy voting

1. Authorize your bank to represent your shares at the Annual General Meeting.

2. You may also grant power of attorney to use Bernhard Wolf and Lisa Ernst. Both of us have been appointed by the company as proxies. If you wish to grant power of attorney to us, please send us your attendance card with instructions as to how we should vote, either by fax or by mail (please take mail delivery time into account). You will receive confirmation that we have voted in accordance with your instructions after the Annual General Meeting.

3. You can also exercise your voting right electronically, via an Internet-based power of attorney and instruction system. Follow the link here to our electronic proxy and instruction system (please allow pop-ups in your internet browser). You can use this system to grant proxy voting rights and issue instructions to us, the proxies appointed by the company, as well as to grant proxy voting rights to a third party, for the Annual General Meeting of GfK SE on May 20, 2016 in Stadthalle Fuerth, Rosenstrasse 50, 90762 Fuerth, Germany. Using this system you can issue, amend or revoke proxy voting rights and instructions, or voting rights for a third party, even during the Annual General Meeting until the end of the general debate.

4. As in previous years, this year's Annual General Meeting will be broadcasted on the Internet in both German and English. You will therefore also be able to vote during the Meeting, as described under point 3. The webcast will be available on the day here.
